Proposed Corporations rule changes adopted

The Board adopted enhancements to the rules governing medical professional corporations at its November meeting. The changes, which must win the approval of the NC Rules Review Commission before they are in effect, reflect process improvements for the filing and renewal of documents concerning medical professional corporations.

The most significant amendment to the rules would require corporations to renew annually, instead of renewing every other year (biennially) as is the Board’s current practice.  Application forms have been renamed to avoid unnecessary confusion with forms required by the NC Secretary of State’s office.  In addition, the amended rules preclude the use of the designations “Inc.” or “Corp.” and instead require professional corporations to identify themselves as “P.C.” to more clearly denote their professional status. Finally, the rules clarify the ownership requirements for professional corporations created in other states to qualify to do business in North Carolina.
